Mater Franchise Strategies and Transfer Issues; Case Study

By Lance Winslow There are many ways to extend your brand-name in a franchise company. The goal is to do it is fast as possible while maintaining a strong franchise family. Often franchise systems will choose a Master franchise strategy, whereby they will sell their rights to others within a region to again sell franchises. This strategy works well for both parties and provides significant financial incentives to the Master franchise partner. However, once all the areas in territories are sold within the region of responsibility for the Master franchise agreement, then the Master franchise has less financial incentives and generally only receives a percentage of the royalties of the current franchisees. At this point often the Master franchise will wish to sell their rights back to the franchisor or to another entity. The first time I had to deal with such a situation I found it necessary to set specific limitations and stipulations all the transfer. Later I decided to include these limitations and stipulations in the Master franchise agreement prior to assigning. Below is a copy of the clause in the contracts that I came up with; 5.7 Transfer of Master Franchise Master Franchisee may not directly or indirectly sell, pledge, assign, transfer or convey any interest in the Master Franchise without the prior written consent of Franchisor. In connection with any sale, transfer or assignment of the Master Franchise, the following requirements for Master Franchisee (assignee) must be met to the full satisfaction of Franchisor as a condition to any transfer: (a) The assignee must, at the time of such assignment or transfer, be financially responsible and economically capable of performing Franchisors objectives in this Franchise Agreement and in Franchisors business development plan. (b) The assignee must expressly assume and agree to perform such obligations and sign a binding agreement with Franchisor. (c) The assignee must be trained and pass Franchisors special Master Franchise training course. (d) The assignee must be competent and subject to a thirty (30) to sixty (60) calendar day review by Franchisor before a transfer to them. (e) The assignee must run their own THE CAR WASH GUYS franchise for at least four (4) months before the transfer. (f) The assignee must own and run a company store unit for the duration of their franchise in a specifically designated area other than the Marketing Areas of their master area franchisees but in the same general region as their master area franchisees. (h) The assignee must attend any formed franchisee organization, union or association meetings in their master area which have been officially recognized by the Franchisor, providing that the franchisees want the Master Franchisee to be there and of which their master area franchisees are a member. (i) The assignee must maintain on hand at least one regional team member and one loaner truck for every twenty (20) franchisees in their assigned master area. The forms processor will make the changes and prepare a final bankruptcy petition ready for electronic filing. The forms processor emails the final petition to the attorney for final approval. 8. Upon approval by the attorney, the forms processor will electronically file the bankruptcy petition with the proper court or email to the attorney for printing, copying and filing. By Steve Hill There is much talk in the media about how more and more people are becoming obese and the negative affect this can have on our lives. The question is what is the best way to go about losing weight? There are so many different weight loss programs being advertised which makes it very hard to know which one to go for. In this article I write about what I consider is the best route to take to help people to shed their excess weight and to eventually reach their ideal target weight. I have battled with my own weight for much of my adult life. In the past I have tried methods such as crash dieting where I would basically radically reduce the amount I was eating for a number of weeks in the hope that this would work. I had limited success with this approach, at times I did lose quite a lot of the fat but it always seemed to return only a few weeks later, once I had started to eat properly again. This I have read is not exactly the most healthy of routes to take and one in which I eventually gave up on. I was then quite lucky to receive some very good advice from a friend of mine. He had also had many problems in controlling his own weight and told me about how he had managed to reach a weight he was happy with. What he had decided to do was to change his whole approach to dieting and weight loss. He had often seen it as one massive choir and effort, an effort that he never truly believed would result in a successful outcome. This he soon realised was a very negative way at looking at things which no doubt was always likely to end with a negative result. He then decided to turn full circle and to think in a far more positive way. Instead of seeing weight loss as a choir he would see it as a form of hobby. You are no doubt thinking that this is rather strange, well that was what I was thinking when he was explaining it all to me. Within his overall hobby of losing weight he would have additional hobbies. These included playing tennis, badminton and football. These were sports he had enjoyed playing when he was at college but that he had rarely played since becoming employed. He therefore decided to start to play these sports again whenever he could. His opinion was that if he could put in as much time to his new hobby of losing weight as he did for all of his other hobbies that the results should then be positive. He set himself goals of where he wanted to be, weight wise, at the end of each month for example and worked hard to attain these goals. The sports that he decided to start playing again not only helped him to lose weight but also helped to improve his social life. I decided to follow my friends lead and took a similar approach. This is probably not ideal or even suitable for reasons such as health for some people but it certainly helped me and my friend to feel a lot better about ourselves and our weight.
